Legal Binding Notice

THESE TERMS OF USE (THESE “TERMS”) SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE. BY ACCESSING OR USING THE SITE, YOU ARE ACCEPTING THESE TERMS. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS, DO NOT ACCESS AND/OR USE THE SITE.

Arbitration Agreement

PLEASE BE AWARE THAT SECTION 10.2 CONTAINS AN AGREEMENT TO ARBITRATE WHICH REQUIRES THAT ALL DISPUTES BETWEEN YOU AND US SHALL BE RESOLVED BY BINDING AND FINAL ARBITRATION.

1. Accounts

1.1

Account Creation. In order to use certain features of the Site, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information.

Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify the Company of any unauthorized use, or suspected unauthorized use of your Account.

2. Access to the Site

2.1 License. Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site solely for your own personal, noncommercial use.

2.2 Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site; (b) you shall not modify, disassemble, reverse compile or reverse engineer any part of the Site; (c) you shall not access the Site in order to build a similar or competitive website.

11. Prohibition Of Circumvention

Platform Integrity Commitment

The Service provided by Nzubia Technologies, Inc. is built upon a proprietary digital trust architecture designed to secure the complex interactions between Retail Exporters, Retail International Importers, and Verified Logistics Agents.

  • Non-Circumvention: Users are strictly prohibited from soliciting or engaging in transactions with agents discovered via the Site outside of the Nzubia platform.
  • Ramifications: Any breach of platform integrity may result in immediate temporary restriction or a permanent ban from the Service.

12. Global Export & Import Contraband Compliance

Trade Compliance & Legal Warranty

  • Strict Warranty of Legality: Users represent and warrant that all cargo tendered via Nzubia complies with all applicable international trade laws and strictly excludes contraband, including but not limited to narcotics, unauthorized weapons, counterfeit goods, and restricted wildlife products.
  • Right of Termination & Reporting: Any violation of trans-border import/export regulations constitutes a material breach of these Terms, authorizing Nzubia to immediately terminate account access and disclose relevant transaction telemetry to global customs and law enforcement authorities.
  • Indemnification & Liability: Users assume exclusive liability for the contents of their shipments and agree to fully indemnify Nzubia against any legal actions, fines, or seizures resulting from the transport of prohibited or illicit materials.

13. SMS Terms and Conditions

Mobile Messaging Agreement

By providing your mobile number and opting in, you agree to receive automated text messages from Nzubia regarding shipment milestones, security alerts, and telemetry updates.

  • Consent: Consent is not a condition of purchase.
  • Frequency: Message frequency varies based on user activity.
  • Rates: Message and data rates may apply.
  • Opt-Out: You can cancel the SMS service at any time. Just text “STOP” to our short code or business number. After you send the SMS message “STOP” to us, we will send you an SMS message to confirm that you have been unsubscribed, or email our support team to opt-out of messaging via support@nzubia.com.
  • Support: If you are experiencing issues with the messaging program you can reply with the keyword “HELP” for more assistance or email our support team via support@nzubia.com.
